1. Subscription Billing

Dairakar is a subscription-based service. By subscribing to a paid plan, you agree to pay the fees associated with your selected plan on a recurring basis.

1.1 Recurring Billing

All paid subscriptions are billed automatically on each renewal date (monthly or annually, depending on your selection). You authorize us to charge your payment method on each renewal date until you cancel.

1.2 Auto-Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled prior to the renewal date. You will receive a notification before each renewal.

1.3 Taxes

All prices listed for Dairakar subscriptions are exclusive of applicable taxes. Tax calculation, collection, and remittance are handled entirely by our payment processor, Paddle, in accordance with local tax regulations. Paddle determines the applicable tax rate based on your billing location and adds it to your invoice at checkout. Dairakar does not determine, collect, or remit taxes on your behalf. If you have questions about taxes applied to your subscription, please refer to Paddle's tax policies or contact Paddle support.

1.4 Price Changes

We reserve the right to modify our pricing. We will notify you of any price changes at least 30 days before they take effect. If you do not agree to the new pricing, you may cancel your subscription before the price change applies.

2. Trial Terms

2.1 Trial Duration

Paid plans include a 14-day free trial. No payment method is required to start a trial. The trial period allows you to evaluate the Service with full access to your selected plan's features before committing to a paid subscription.

2.2 Trial Conversion

At the end of the 14-day trial period, your access to paid features will be restricted unless you subscribe to a paid plan. You will not be charged automatically, you must actively choose and confirm a paid plan before any payment is processed.

2.3 Cancellation During Trial

You may cancel at any time during the trial period. No charges will be incurred. Cancelling during the trial immediately restricts access to paid features.

2.4 Trial Limitations

Trials are limited to one per organization or billing entity. We reserve the right to deny trial access if we detect abuse, such as creating multiple accounts to extend trial periods.

3. Refund Eligibility

3.1 Monthly Plans

Monthly subscriptions are non-refundable after the billing cycle has begun. Once a payment is processed for a monthly billing period, we do not provide refunds for partial use or unused time within that cycle.

3.2 Annual Plans

Annual subscriptions may be eligible for a pro-rated refund if requested within the first 14 days of the initial annual subscription payment and your usage of AI processing credits is low. Refunds on annual plans are evaluated on a case-by-case basis. No refunds are provided for annual renewals beyond the first 14 days.

3.3 Goodwill Exceptions

Refunds may be granted on a case-by-case basis for the following circumstances:

  • Accidental duplicate charges (e.g., being charged twice for the same period);
  • Technical failures or service outages that materially prevented you from using the Service for a substantial portion of the billing period;
  • Obvious billing errors or incorrect charge amounts verifiable through our payment processor.

Goodwill refunds are at our sole discretion and do not establish a precedent or ongoing obligation.

3.4 No Refund Scenarios

Refunds are not provided for:

  • Partial-month usage, you are billed for the full billing cycle regardless of when you stop using the Service;
  • Unused time within a billing period, if you cancel mid-cycle, access continues until the end of the cycle but no partial refund is issued;
  • High AI consumption after substantial AI processing usage during the billing period;
  • User-caused data loss or accidental deletion;
  • Failure to cancel before the renewal date;
  • Dissatisfaction with AI-generated outputs where the AI Features functioned as described.

4. AI Usage & Processing Costs

Dairakar incurs real-time operational costs for AI processing. When you use AI Features , including requirement extraction, assumption detection, risk analysis, scope change comparison, and clarification generation , our systems consume third-party AI provider resources that are billed to us immediately.

4.1 AI Credits and Usage

Each Subscription Plan includes a monthly quota of AI processing capacity. AI usage within your plan's quota is included in your subscription fee. Usage beyond your plan's quota may be restricted until the next billing cycle or may require a plan upgrade.

4.2 Non-Refundability of Consumed AI Usage

AI processing credits and usage are non-refundable once consumed. Because AI processing incurs immediate, irrecoverable costs on our side, refunds will not be issued for AI usage that has already been processed, regardless of whether you were satisfied with the outputs.

4.3 AI Usage Transparency

You can monitor your AI usage within your Workspace settings. We recommend reviewing your usage before requesting a plan upgrade or during your trial period to ensure the selected plan meets your needs.

5. Cancellation Policy

5.1 How to Cancel

You may cancel your subscription at any time through your Workspace billing settings or by contacting our support team at [email protected]. Cancellation is effective at the end of the current billing period.

5.2 Access After Cancellation

Cancellation stops future renewals. Your access to paid features continues until the end of the current billing period. We do not immediately terminate paid access upon cancellation unless your account is suspended due to a violation of our Terms of Use or fraudulent activity.

5.3 Post-Cancellation

After your paid access expires, your Workspace will become read-only. You will still be able to export your data but will not be able to create new projects, process AI analyses, or use paid features. See Section 7 for data retention details.

5.4 Reactivation

You may reactivate your subscription at any time by selecting a paid plan. Upon reactivation, full access to plan features is restored immediately.

6. Failed Payments

6.1 Grace Period

If a payment fails (e.g., due to expired card or insufficient funds), we will attempt to process the payment again. You will receive a notification and have a 5-day grace period to update your payment method before service is affected.

6.2 Downgrade or Suspension

If payment is not resolved within the grace period, your subscription may be downgraded to a restricted free tier or suspended. In such cases, your Workspace will become read-only. Your data is preserved according to our data retention policy.

6.3 Restoration

Access is restored immediately upon successful payment of outstanding charges and update of a valid payment method. No data is deleted during the grace period or suspension.

7. Data Retention After Cancellation

7.1 Read-Only Period

After your subscription ends or is cancelled, your Workspace enters a read-only state. During this period, you can view and export your data but cannot create or modify content.

7.2 Data Export

We strongly encourage you to export your data before the retention period expires. You may export your project content, scope documents, and baselines in supported formats (PDF, JSON) at any time during the read-only period.

7.3 Retention and Deletion

Your data will be retained in read-only state for 90 days after your subscription ends. After this retention period, your Workspace data including projects, scope documents, communications, AI analysis results, and audit logs will be permanently deleted.

7.4 Legal and Financial Records

Certain records required by law, such as transaction history, invoices, and tax records, may be retained beyond the deletion period as required by applicable regulations. Anonymized, aggregated data that cannot be traced back to you may also be retained.

8. Chargebacks and Payment Disputes

8.1 Contact Us First

If you believe a charge is incorrect or unauthorized, please contact us at [email protected] before initiating a chargeback with your bank or payment provider. We will investigate and resolve legitimate billing concerns promptly.

8.2 Fraudulent Disputes

Initiating a chargeback without first contacting us, or filing a fraudulent dispute (e.g., claiming non-receipt of services you used), may result in immediate account suspension and termination of access to the Service.

8.3 Dispute Resolution

If a chargeback is filed, we reserve the right to suspend your account and all associated Workspaces pending resolution. Reactivation after a chargeback is at our sole discretion and may require repayment of the disputed amount plus any chargeback fees incurred.

9. Enterprise & Custom Contracts

If you have an Enterprise plan or a custom Master Service Agreement (MSA) with Dairakar, the refund, billing, and cancellation terms defined in your MSA or custom agreement take precedence over this policy. Enterprise customers should refer to their specific contract for terms governing refunds, billing cycles, and data retention.
